Agreement
 
This agreement is between SMD Marketing Calls with business address
Unit C534 Cityland Pasong Tamo Tower, Chino Roses Ave., Makati City ( hereby known as the "COMPANY" ) and
( hereby known as "the AFFILIATE" )
 
     1. Whereas the COMPANY is conducting a marketing program to promote
         "The Citylimits Privilege Club" and premises of the AFFILIATE.
 
     2. Whereas the AFFILIATE wishes to offer discounts and/or other incentives to the members of the
         "The Citylimits Privilege Club", and in return gives them the following benefits:
 
          a. Brand recall of your establishments.
          b. Incremental revenue from card usage by club members.
          c. Wide coverage of clients from within Metro Manila.
          d. Marketing mileage at no cost on your part.
          e. The name and location of your establishment will be included in our directory guide and
              our website.
     3. The COMPANY will market, at no cost, to the AFFILIATE "The Citylimits Privilege Club" and
          promote the market premises of the AFFILIATE through telephone, newsletter, e-mail and facsimile transmission.
 
     4. The AFFILIATE, in return, will offer discounts or incentives to the members of "The Citylimits Privilege Club" for a period of
          twelve months from
 
     5. The AFFILIATE shall offer the following privileges to the members of "The Citylimits Privilege Club":

     6. This agreement will become null and void in the event of the closure of the Premises of the AFFILIATE or
          in the event of cessation of the program by the COMPANY.
